By engaging T. Simmons & Associates LLC (“Company,” “we,” “us,” or “our”) to perform research, by registering for a client account, or by using our client portal, you (“Client”) agree to these Terms & Legal Disclaimer. If you do not agree, you must not use our services or access our portal.

T. Simmons & Associates LLC provides business intelligence research, investigative data gathering, and reporting services.

• We perform all research internally using authorized tools and methods.
   
• Clients receive results in the form of reports only.
   
• Reports are intended to provide business intelligence, not consumer reporting.
   

• Access to our client portal is restricted to approved clients.
   
• Registration alone does not guarantee approval. We reserve the right to approve, deny, suspend, or revoke portal access at any time.
   
• Each login is issued to a single business entity or individual. Logins may not be shared, transferred, or sold without our written consent.
   
• Clients are responsible for keeping usernames and passwords secure.
   
• Clients are liable for all activity conducted under their credentials.
   
• Portal access does not provide direct access to underlying databases, search platforms, or raw data sources. All research is conducted internally by T. Simmons & Associates LLC.
   

Our services are not Consumer Reports and T. Simmons & Associates LLC is not a Consumer Reporting Agency as defined by the Fair Credit Reporting Act (15 U.S.C. §1681, et seq.).
The information we provide may not be used to determine a consumer’s eligibility for:

• Credit or financing of any kind
   
• Employment, hiring, promotion, or termination
   
• Housing, tenancy, or leasing decisions
   
• Insurance (personal, family, or household purposes)
   
• Any other purpose covered by the FCRA
   

Any misuse of our reports for these purposes is strictly prohibited.

We strive to provide current and accurate information, but:

• Data may be incomplete, outdated, or subject to change.
   
• We make no guarantees about the accuracy, reliability, or completeness of information provided.
   
• Reports are delivered on an “as is” and “as available” basis.
   

The Client agrees:

• To use all information in compliance with federal, state, and local laws.
   
• To be solely responsible for any actions taken based on our reports.
   
• To indemnify and hold harmless T. Simmons & Associates LLC, its owners, employees, and agents from any claims, damages, or liabilities arising from the Client’s use of information provided.
   

• Fees for services are due as agreed prior to commencement of work.
   
• Because services involve time and resources, all sales are final once research has begun.
   
• Refunds may be considered at our sole discretion only if no report can be produced.
   

To the fullest extent permitted by law:

• T. Simmons & Associates LLC shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of our services or reports.
   
• Our total liability to any Client for any claim shall not exceed the total amount paid by that Client for the specific service in question.
   

• These Terms shall be governed by and construed under the laws of the State of South Carolina.
   
• Any disputes that cannot be resolved informally shall be settled by binding arbitration in South Carolina, on an individual basis.
   
• Class actions or consolidated claims are not permitted.
   

We reserve the right to refuse, suspend, or terminate services and/or client portal access at any time for misuse, unlawful conduct, or non-payment.

Information provided by T. Simmons & Associates LLC does not constitute legal advice. Clients are responsible for seeking independent legal counsel before relying on any data for legal or business purposes.
